GENERAL CONDITIONS:
Present conditions are ruled by the following dispositions. Any modification, addition, cancellation shall be agreed upon exclusively in writing and must be expressly accepted by NET SEALS SRL.
CONTRACT CONCLUSION:
The following general sales conditions are valid either for long lasting or for occasional/isolated supplies.
OFFERS AND ORDERS:
Every order is intended as accepted by NET SEALS SRL only after the order confirmation has been sent by NET SEALS SRL itself. The delivery dates are intended to be indicative and approximate without any engagement, except from precise contrary dispositions that must be accepted in written form by NET SEALS SRL. All offers have a validity time of 30 days, after these the same treatment cannot be guaranteed. Any request of modifications of the offers or orders by the counter-party will be valid only if accepted in writing form by the seller.
PRICES:
Our prices are in euro currency, free our factory, except different written agreement , T.V.A. excluded and are based on price-lists in progress at the moment of the offer and/or the order.
DELIVERIES AND TRANSPORTS:
The delivery terms are indicative and do not engage NET SEALS SRL. NET SEALS SRL must not pay out any damage of any kind for eventual direct damages due to delivery delays or interruptions
or partial or total resolution of the supply.
The transport of goods is always depending and at total risk of the client, regardless from the way of transport and payment ; under the hypothesis that for pure courtesy NET SEALS SRL
would directly organize the transport on behalf of the client, the connected risk will be at client’s charge, with express exemption of any responsibility for NET SEALS SRL for damages due to transport , unless any different .
agreement in writing.
PAYMENTS:
All payments must be done with valid currency and must not be different from the currency with which the invoice has been issued. The agreed terms of payment shall be carefully observed by the client and it will not be possible to interrupt them either in case of dispute or challenges of any kind, even if legitimate. For any delay in payments, it is faculty of the seller to debit overdue interests in the measure of the official discount rate charged at the moment. The payment delay gives to NET SEALS SRL the right to suspend the orders in progress and not to accept further orders by the purchaser , even if deriving from offers still valid. All collateral expenses for delayed payment and /or credit recovery , will be at the buyer’s charge only. NET SEALS SRL can start a lawsuit for recuperating its credit without notifying the purchaser. In case NET SEALS SRL will not receive within the agreed terms the payment of the goods and/or services , every expense necessary to recuperate the credit will be debited to the purchaser, including legal and takings and any other collateral burden.
LIABILITY FOR FAULTS AND/OR DEFECTS IN THE PRODUCT:
Considering that the application and installation of gaskets is subject to numerous variables (destination of product, compatibility with the system/machine of destination, storage conditions of the client, etc.) that are beyond the seller’s control and over which he has no power of intervention, NET SEALS SRL may not be held liable, unlimitedly, for any faults or defects of the products sold.
- NET SEALS SRL by using quality raw materials, may not be held liable for any possible faults and/or defects in the raw material used for its products.
- NET SEALS SRL does not assume any responsibility in regard to the final destination of the product, for which the client may act and choose in full autonomy and awareness, or rather the seller may not be held liable for the fitness or otherwise of the product in regard to so called “operating conditions” for which the client holds sole responsibili.
- NET SEALS SRL may not be held liable for any faults and/or defects of the product resulting from irregular damage, negligent storage by the client, incorrect application and/or installation methods, replacements and/or maintenance work performed by third parties, due to chemical, mechanical and/or electrical causes that have no bearing on the product as sold.
- In any case, no claim and/or worn-out will be accepted after 60 days from the delivery of goods. The product will be in any case replaced only and if not used, the operating use of the product lapses any clause of warranty and/or replacement.
PRICES REVIEW:
Possible price increases could be done without notice by the side of NET SEALS SRL..
JURISDICTION:
Any controversy, claim or dispute arising between the parties in connection with the interpretation and fulfillment of this sales contract will be referred to the exclusive jurisdiction of the Courts of Ravenna. This sales contract is
likewise exclusively governed by Italian Law.
